Terms and Conditions

Welcome to AtSeat Partner ("we", "our", "us"). By accessing or using the AtSeat Partner mobile application ("Partner App"), you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use the Partner App.

1. About AtSeat Partner

AtSeat Partner is a business operations application for restaurant and cafe owners and their staff. It enables partners to manage place listings, menus, items, operational status, staff access, analytics, and billing through the AtSeat platform.

AtSeat Partner does not currently support online payment processing, direct customer communication, table bookings, or advertisements.

2. Eligibility

  • You must be at least 18 years of age to register as a partner.
  • You must be an authorised owner, operator, or employee of the business you register or manage on the platform.
  • By registering, you confirm that you have the authority to bind the business to these Terms where applicable.
  • Staff accounts added by an owner are subject to these Terms upon first use of the Partner App.

3. Accounts and Authentication

  • All accounts are authenticated using mobile number and OTP.
  • New users completing registration are required to provide a full name. An email address is optional.
  • You are responsible for maintaining the accuracy of your account information and ensuring that your mobile number remains accessible.
  • You must not share your OTP or allow others to access your account without proper authorisation through the platform's staff management feature.
  • You are responsible for all actions taken under your account, including actions taken by staff members you have authorised.

4. Place Registration and Management

4.1 Place Setup

To register a place, you must submit a setup request that includes accurate business information. All setup requests are subject to review and approval by AtSeat before the place is published on the platform.

4.2 Place Edits

Certain fields (name, description, address, and images) require AtSeat review before changes are applied. Other operational fields (categories, hours, contact number, service charge, location) may be updated without review and take effect immediately.

4.3 Accuracy Obligations

You are solely responsible for ensuring that all information submitted about your place — including address, opening hours, contact details, and operational status — is accurate, current, and not misleading to end-users.

4.4 Operational Status

The Partner App provides a force-status feature to temporarily override your place's open or closed state. This feature is intended for genuine operational use. Misuse to mislead customers is a violation of these Terms.

5. Menu and Item Management

5.1 Immediate Updates

The following item fields may be updated at any time and take effect immediately: base price, GST, food type, sort order, and availability. You are responsible for keeping pricing accurate and compliant with applicable tax regulations.

5.2 Review-Gated Updates

Changes to item names, descriptions, images, variant groups, and addon groups are submitted for AtSeat review before being applied. Until a change is approved, the existing published version remains visible to end-users.

5.3 Content Standards

All submitted menu content must:

  • Be accurate and not misleading
  • Not contain unlawful, harmful, offensive, or infringing material
  • Comply with applicable food labelling and advertising regulations

AtSeat reserves the right to reject or remove content that violates these standards without prior notice.

6. Staff Management

  • Place owners may add staff members by mobile number and assign them specific roles and permissions.
  • Owners are responsible for the actions of all staff members they authorise, including edits, submissions, and status changes made under those accounts.
  • Owners must promptly revoke access for staff members who are no longer authorised to act on behalf of the business.

7. Intellectual Property and Content Ownership

7.1 Your Content

You retain ownership of all business information, images, menus, and other content you submit to the platform ("Partner Content").

7.2 Licence to AtSeat

By submitting Partner Content, you grant AtSeat a non-exclusive, royalty-free, worldwide licence to store, display, and distribute that content through the AtSeat platform (including the consumer-facing AtSeat app) for the purpose of operating the service.

This licence continues for as long as the content remains on the platform and terminates when the content is removed or your place is deactivated, subject to any legal retention obligations.

7.3 Warranties

By submitting Partner Content, you warrant that you have the rights to submit it and that it does not infringe the intellectual property rights of any third party, including images and branding.

7.4 AtSeat's Intellectual Property

All platform software, branding, UI design, and technology are owned by AtSeat or its licensors. No rights to AtSeat's intellectual property are granted to you beyond what is necessary to use the Partner App.

8. Analytics

The Partner App provides analytics reports for your place, including appearance counts, click data, QR scan data, and item-level engagement. This data is derived from aggregated end-user interactions and is provided to you solely for business insight purposes.

Analytics data reflects platform activity and is not a guarantee of customer footfall, revenue, or business performance. AtSeat does not warrant the completeness or real-time accuracy of analytics reports.

9. Billing

9.1 Usage-Based Fees

AtSeat charges partners a monthly fee based on usage. Bills are generated at the end of each calendar month and are based on aggregated analytics data (appearances, clicks, and QR scans) used to determine a pricing tier. Free-tier usage thresholds may apply.

9.2 Bill Issuance and Payment

Bills are issued monthly and become due within the billing period specified on the bill. Partners are responsible for marking bills as paid through the billing section of the Partner App. Overdue bills are flagged after the due date has passed.

9.3 Billing Disputes

If you believe a bill is incorrect, contact us at support@atseat.in within 14 days of the bill being issued. We will review and respond promptly.

9.4 Changes to Pricing

AtSeat reserves the right to update pricing tiers or fee structures. Partners will be given reasonable notice of material pricing changes before they take effect.

10. Content Moderation and Review

AtSeat operates a moderated review workflow for place setup, place edit requests, and certain menu item changes. AtSeat reserves the right to:

  • Approve, reject, or request revisions to any submitted content
  • Remove published content that violates these Terms or applicable law
  • Suspend or deactivate a place listing pending investigation

Review decisions are made at AtSeat's discretion. Rejection notes will be provided where applicable to help you revise and resubmit.

11. Partner Responsibilities

You agree not to:

  • Submit false, misleading, or inaccurate business or menu information
  • Attempt unauthorised access to any system, data, or account
  • Reverse-engineer, copy, or exploit the Partner App's software or API
  • Use the platform for any unlawful purpose
  • Disrupt or interfere with the platform's functionality or other partners
  • Use the force-status feature to intentionally mislead customers

We reserve the right to suspend or permanently terminate access if misuse is detected, with or without prior notice depending on severity.

12. Third-Party Services

The Partner App uses third-party services to deliver core functionality, including SMS providers for OTP delivery, map and geocoding services for location handling, and cloud infrastructure. Use of these services involves limited data sharing as described in our Privacy Policy. AtSeat is not responsible for the availability, accuracy, or practices of third-party services.

13. Service Availability

AtSeat does not guarantee uninterrupted access to the Partner App. The platform may be temporarily unavailable due to maintenance, updates, or technical issues. We are not liable for any business impact resulting from planned or unplanned downtime.

14. Limitation of Liability

To the maximum extent permitted by applicable law, AtSeat shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Partner App, including but not limited to loss of revenue, loss of customers, or reliance on analytics data.

AtSeat's total liability for any claim arising out of these Terms shall not exceed the total fees paid by you to AtSeat in the three months preceding the claim.

15. Termination

You may stop using the Partner App at any time. You may request account deletion directly from within the app.

AtSeat may suspend or terminate your access if:

  • These Terms are violated
  • Bills remain overdue beyond a reasonable period
  • The platform is discontinued or materially changed
  • We are required to do so by law

Upon termination, your access to the Partner App will be removed. Published place and menu data may remain visible on the consumer app until formally deactivated. Outstanding billing obligations survive termination.

16. Account Deletion

You may delete your personal account at any time from within the Partner App. Deleting your account does not automatically remove your place listing or menu data if other owners remain associated with the place.

If you create or log in to a new account using the same mobile number while a previous deletion is still being processed, certain actions — such as requesting another account deletion — may be temporarily restricted until the earlier deletion is fully completed.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Partner App or by email if provided. Continued use of the Partner App following an update constitutes your acceptance of the revised Terms.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of these Terms shall be subject to the jurisdiction of the courts of India.
